Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PME AI platform ("we", "us", "our") at pme-ai.pt and associated subdomains.

By using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. Acceptance

By accessing the PME AI platform, creating an account, or using any service we provide, you confirm that:

  • You are authorized to accept these Terms on behalf of your business (the "Tenant")
  • Your business is a legal entity in good standing
  • You are at least 18 years of age

2. Service Description

PME AI is a productized AI agency platform. We design, build, and operate bespoke AI agents for each Tenant. The specific capabilities, workflows, and integrations delivered to your organization are agreed upon separately via a commercial contract.

The platform provides:

  • AI-powered content creation and publishing (initial capability: Instagram)
  • Human-in-the-loop approval workflows
  • Usage monitoring and cost attribution per agent run
  • Audit logs for all agent activity

The exact scope of services for your organization is defined in your separate service agreement with PME AI.

3. Acceptable Use

You agree to use the platform only for lawful purposes and in compliance with:

  • These Terms
  • All applicable laws and regulations in Portugal and the European Union
  • Meta's Platform Terms and Developer Policies (when using Instagram integration)
  • Anthropic's Usage Policies and OpenAI's Terms of Use (AI inference)

You must not use the platform to:

  • Publish content that violates Meta's Community Standards or Platform Policies
  • Engage in automated engagement actions prohibited by Meta (automated likes, follows, comments, or DMs at scale)
  • Generate or distribute spam, misleading content, or content infringing third-party intellectual property rights
  • Attempt to circumvent rate limits, usage caps, or authentication controls
  • Access or attempt to access data belonging to other Tenants
  • Use the platform for any unlawful purpose, including but not limited to fraud, harassment, or violations of privacy law

4. Your Responsibilities

  • You are responsible for ensuring the content generated and published through your agent complies with applicable law and Meta's policies
  • You must keep your login credentials and API keys secure and confidential
  • You must promptly notify us at admin@pme-ai.pt if you suspect unauthorized access to your account
  • You are responsible for any Meta permissions you grant us on your behalf via OAuth

5. Pricing and Billing

Pricing is agreed out-of-band via a separate commercial contract between your business and PME AI. The platform does not currently handle self-serve billing or payment processing.

AI inference costs (Claude, gpt-image-1) are covered by the platform under the terms of your contract. Per-tenant spending caps apply as configured by your account.

6. Intellectual Property

  • Your content: You retain all intellectual property rights to content you provide as input to the agent (brand guidelines, existing materials, instructions).
  • Generated content: AI-generated output (images, captions) produced by the agent on your behalf is assigned to you upon delivery, subject to the terms of the underlying AI providers (Anthropic, OpenAI).
  • Platform: All software, infrastructure, and proprietary agent code developed by PME AI remains our intellectual property. Nothing in these Terms grants you a license to the platform codebase.

7. Termination

Either party may terminate the service relationship by providing 30 days written notice to the other party.

Upon termination:

  • We will cease operating your agent
  • We will retain your data for up to 60 days post-termination to allow for data export
  • After 60 days, your data will be deleted from our systems (except where retention is required by law)

We reserve the right to suspend or terminate your access immediately if you materially breach these Terms or engage in activity that threatens the security or availability of the platform.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM

THIS SECTION DOES NOT AFFECT RIGHTS YOU MAY HAVE UNDER PORTUGUESE CONSUMER PROTECTION LAW OR EU MANDATORY RULES.

Note: This is a draft limitation of liability clause. Review with legal counsel before relying on it.

9. Disclaimers

The platform is provided "as is" and "as available". We do not warrant that:

  • The platform will be error-free or uninterrupted
  • AI-generated content will be accurate, suitable for any particular purpose, or free from legal risk
  • Third-party integrations (Meta Graph API, Anthropic, OpenAI) will be available at all times

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal and, where applicable, the laws of the European Union.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless mandatory consumer protection rules in your jurisdiction provide otherwise.

11. Changes to These Terms

We will notify you by email at least 30 days before any material changes to these Terms take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
